Brand Terms

Last updated: October 23, 2026

These terms are the agreement between Socommerce and the business that signs up to socommerce.io as a brand or an agency (“you”). They sit alongside our Data Processing Agreement, which covers your shoppers’ data and forms part of these terms, and our Privacy Policy. Creators agree to their own Terms of Service.

1. Who We Are and What We Do

socommerce.io is operated by Socommerce LTD, a company registered in the United Kingdom under company number 17378950, with its registered office at 27 Old Gloucester Street, London, WC1N 3AX, United Kingdom (“Socommerce”, “we”, “us”, or “our”).

You offer programs: a commission rate and the products it covers. Creators join them, make videos of your products, and send them to you. You run the videos you accept as ads, with the landing URL we give you for each creator. When a paid order in your shop comes through a creator’s link, that creator earns commission on it.

Socommerce is the seller. We buy each creator’s videos and the right to use them, and sell them on to you, for the commission plus our fee. You pay us; we pay the creators. You do not contract with, invoice or pay a creator for work done through socommerce.io.

2. Your Account

  • socommerce.io is for businesses only. Whoever signs up must be authorised to bind the business to these terms.
  • An agency that signs up brands it runs promises that it is authorised by each of them, and is responsible to us for every brand on its account as if it were its own.
  • You keep your account details, billing details and VAT number true and up to date, and keep logins to the people you let act for you. What anyone does while signed in to your account is done by you.
  • Creators’ personal data. You will see creators’ profiles and portfolios. Use them only to choose, invite and work with creators on socommerce.io, never to contact a creator for any other purpose or to build a list of them, and handle them as data protection law requires.

3. Your Shop and Tracking

  • You connect one shop per brand, on Shopify or on WooCommerce. On Shopify, through our Shopify app, giving it the permissions it asks for: reading orders and products, creating the zero-priced orders that send samples, and running our checkout pixel. On WooCommerce, by approving a REST API key for us on your own site, which lets us read your orders and products, create sample orders, and keep our webhooks there; your shop is served over HTTPS and runs WooCommerce 9.0 or later.
  • Commission is worked out from your shop’s orders only. We match an order to a creator by the tracking code in their landing URL — on Shopify, carried through your shop’s cart, landing page or checkout pixel; on WooCommerce, written on the order by our plugin, or recorded by WooCommerce’s Order Attribution. Our record of how each order was matched is what commission is charged on.
  • Every ad that uses a creator’s video points at that creator’s landing URL, unchanged. Running a video with another address, or removing the tracking code from it, uses the creator’s work without paying for it, and is a breach of these terms.
  • You do not obstruct our tracking in your shop — for example by removing our app's pixel, stripping the code from your cart or rewriting your landing pages to drop it, or on WooCommerce by revoking our key, deleting our webhooks or removing the code from your orders — while a program is running.
  • On WooCommerce, install our plugin. It carries the code to every order; without it, a shopper who declines your cookie banner, or never answers it, cannot be matched, and their sale credits nobody.
  • If you uninstall our Shopify app or revoke our WooCommerce key, or the connection stops working, orders stop reaching us and no commission can be worked out for them. Commission already earned is still owed.

4. Programs, Creators and Videos

  • Your rate binds you.A creator earns at the rule of your program on the day they joined it. Raising the rate moves every member up; any other change applies only to creators who join afterwards. Sales through a creator’s link keep earning at their rate after they leave the program or it is archived.
  • Your briefs and product information are accurate, lawful, and yours to give. You license us and the creators you work with to use your names, logos, products and materials as needed to make the videos you ask for.
  • You review each video a creator sends and accept it or send it back with a reason. Only a video you accept is handed to you and licensed to you.
  • Samples.Accepting a creator’s sample request creates a zero-priced order in your shop. You ship it at your own cost, and are responsible for the product as you would be for any order.

5. The Licence You Receive

For every video you accept, we pass on to you the licence the creator gave us under the creator terms: to copy, edit, cut, caption, subtitle, add music or text to and translate it, and to run it, whole or edited, as paid ads and organic posts on any website, app or social network, worldwide, for as long as you use socommerce.io. Your agencies and media buyers may do the same for you.

  • It is paid for by commission. The licence costs nothing on top: you pay for it through the commission on the sales the video brings. That is why Section 3 requires each ad to carry the creator’s landing URL, and why it ends when you leave (below).
  • It is non-exclusive. The creator keeps ownership, and may show the video as their own work.
  • It does not cover portfolio videos, videos you have not accepted, or using a creator's name or likeness to suggest they endorse anything beyond the product in the video.

When you leave, the licence ends

Because the licence is paid for by commission, it lasts only while sales through the videos can still be tracked and paid to the creators. It ends, for every video you accepted, when:

  • you close your account;
  • your shop is disconnected from socommerce.io — you uninstall our Shopify app or revoke our WooCommerce key, or the connection stops working — and is not reconnected within fourteen (14) days; or
  • we close your account under Section 10.

Within seven (7) days of it ending, you stop running the videos as ads, take them down from your own channels, and ask your agencies and media buyers to do the same. Using a video after that is using a creator’s work without a licence. Commission on sales before the licence ended is still owed.

6. Running the Ads

  • You create and run the ads yourself, in your own ad accounts, and are responsible for them: for the claims they make about your products, for labelling them as ads or partnerships where the rules require it, and for following the advertising rules of each place they run, including the UK CAP Code and the platforms' own policies.
  • You are responsible for your products, their safety and their delivery, and for your dealings with your shoppers.

Meta

If you connect a Meta ad account, you give us a read-only token from a Meta app you own. We use it only to read your ads, their creatives, views and spend, to show you which videos perform. We never create, change or pay for ads. You appoint us as your service provider for that purpose under Meta’s Platform Terms, and may disconnect at any time. Meta’s figures are shown to you and never used to work out commission.

7. Fees and Payment

  • What you pay.For each paid order matched to a creator, you pay the creator’s commission plus our fee: 1.5% of the matched sale by Direct Debit, or 1.8%by debit card. A sale is the goods, after discounts, without shipping or VAT, on the creator’s own products. VAT is added where it applies.
  • When.Every Monday we charge you, per currency, for what the past week earned, and send you an invoice for it. You pay in your shop’s currency, pounds or euros.
  • How.By Direct Debit (Bacs for pounds, SEPA for euros), set up once with a mandate that lets us take the weekly charge. A debit card issued in the UK or the EEA is the alternative. Payments are processed by Stripe, and you agree to Stripe’s terms for them. A UK brand gives a valid UK VAT number, and an EU brand a valid EU VAT number, before commission runs.
  • Refunds. When an order is refunded, in whole or in part, the commission, fee and VAT on the refunded products are credited on a later invoice, whether or not we recover the money from the creator.
  • Failed payments. If a charge fails or is disputed, your account is overdue: no new commission runs for it until a payment succeeds, and what you already owe stays owed. Creators are paid only once you have paid. We may charge interest on late payment as the Late Payment of Commercial Debts (Interest) Act 1998 allows.
  • Disputing a correct charge with your bank does not cancel what you owe. Tell us about a charge you think is wrong within thirty (30) days of its invoice, and we will look into it.

8. Working With Creators Through Us

Creators come to you through socommerce.io, and our fee is how we are paid for that. While a creator is a member of one of your programs, and for twelve (12) months after, you do not pay or contract with them outside socommerce.io for videos, ads or promotion of the kind these terms cover, unless you agree it with us first.

9. Fraud and Misuse

We may suspend a program, hold back commission, or close an account where we find fraud or misuse — by a creator or by you — including orders placed to earn commission, links put where shoppers were already going to buy, tracking removed or bypassed, or charges reversed without cause. You do not place or arrange orders through a creator’s link to move money to them.

10. Ending

  • You can stop at any time: archive your programs, uninstall our Shopify app or revoke our WooCommerce key and delete our webhooks, and close your account by writing to info@socommerce.io. Every charge for orders matched before then is still due.
  • We can suspend or close your account if you break these terms, do not pay, or put creators, shoppers or us at risk, with notice where we can give it.
  • When you leave, the licence to every video you accepted ends, and you stop using them (Section 5).
  • Sections 5 (on stopping use), 7 (for what is owed), 8, 11 and 12 continue after these terms end.

11. Liability

We provide socommerce.io as it is. We do not promise that it will always be available or free of errors, that any order will be matched to a creator, or that any creator or video will bring sales. We are not responsible for creators’ videos beyond the promises they make to us in the creator terms, which we pass on to you.

You are responsible for, and will cover us against, claims arising from your products, your ads and the claims they make, your briefs and materials, and your use of a video outside the licence.

Neither of us is liable to the other for lost profits, lost revenue, lost data or any indirect loss. Our total liability to you is limited to the fees (not the commission) you paid us in the twelve months before the claim. Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud, or for death or personal injury caused by negligence, or your obligation to pay what you owe.

12. Changes, Confidentiality and the Law

Changes to these terms

We may change these terms. For a material change, we will tell you by email or in the app at least thirty (30) days before it takes effect, and you may stop before then. Changes to our fee reach only charges after the change takes effect.

Confidentiality

Each of us keeps what the other shares that is not public — your sales figures, our pricing and the platform’s workings — confidential, and uses it only for these terms.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales decide any dispute about them.
